A proforma invoice is the document you send before a sale is final: it looks like an invoice, lists the goods or services, the quantities, the prices and the taxes, but it is an offer rather than a bill. Indian businesses use it when a customer wants a formal document to approve a purchase internally, release an advance, open a letter of credit, or get a loan or import clearance.

Under GST a proforma invoice has no legal status. It is not a tax invoice under Rule 46, it creates no liability for the seller, and the buyer cannot claim input credit on it. That is exactly why it has to say so on its face, and why it should carry a validity date, so that a price quoted in October is not enforced in March. This generator builds the document with those protections built in: a clear "not a tax invoice" line, a valid-till date computed from the days you set, an indicative CGST and SGST or IGST estimate based on the type of supply, the total in words, your payment and delivery terms, and bank details for the advance.

Once the customer accepts and the goods ship or the service is delivered, issue a proper tax invoice with the same line items using the GST invoice generator, and if you receive an advance for a service, a receipt voucher.

How to use the proforma invoice generator

  1. Enter the seller details with GSTIN and state, and the buyer details with the state that will be the place of supply.

  2. Give the proforma a number in its own series, a date and the number of days it is valid for.

  3. Choose the type of supply: intra-state for CGST and SGST, inter-state for IGST, or no GST if you are unregistered or the supply is exempt.

  4. Add line items with description, HSN or SAC, quantity, unit, rate and GST rate. Use the add button for more rows.

  5. Fill in payment terms, delivery, bank details and notes, then Preview and Print / save as PDF.

Why this matters for your business

It gets the advance released. Corporate buyers, government departments and many families paying for a wedding will not pay against a WhatsApp message; a proforma with a number, a validity date and bank details gets through their approval.

It locks the scope. Listing the items, quantities and rates before work starts prevents the "we thought that was included" argument when the tax invoice arrives.

It keeps your GST clean. A proforma in its own number series never gets confused with tax invoices in GSTR-1, and the wording on it stops a buyer from trying to claim credit on an offer.

Tips for better results

  • Number proforma invoices in a separate series (PI/2026-27/0001) from tax invoices so the two never overlap in your books or your GSTR-1.
  • Keep validity short in a season of changing prices; 7 to 15 days is usual for goods, 30 days for services and projects.
  • When you receive an advance against a proforma for services, GST is payable on the advance in that month; issue a receipt voucher under Rule 50 and adjust it in the final tax invoice.
  • For an export, add the currency, the Incoterm (FOB, CIF) and the port of loading; banks and customs will ask for them.
  • Convert the accepted proforma into the tax invoice without changing descriptions or HSN codes, so the two documents match line for line.
  • State what is excluded (transport beyond a distance, overtime, taxes on extras) in the notes line; exclusions cause more disputes than inclusions.

Example

A real-world walkthrough

Utsav Events and Decor in Ahmedabad is asked by Kalp Textiles to quote for the stage, lighting and floral decor for the company annual day in Surat. The client finance team asks for a proforma invoice so they can release a 50 percent advance.

The planner enters both parties with GSTINs, picks intra-state since both are in Gujarat, and adds three lines: stage and backdrop at Rs 60,000, lighting and sound at Rs 35,000 and floral decor at Rs 25,000, all at 18 percent under SAC 998596. The proforma shows a taxable value of Rs 1,20,000, CGST and SGST of Rs 10,800 each and an indicative total of Rs 1,41,600, valid for 15 days, with the advance terms and the studio bank and UPI details. The client approves it the same day and pays the advance against the proforma number.

Frequently asked questions

What is a proforma invoice and how is it different from a tax invoice?

A proforma invoice is a preliminary bill of sale sent before goods are delivered or services performed. It shows what will be supplied, at what price and with what taxes and terms, so that the buyer can approve the purchase, arrange payment or an advance, or complete import or loan formalities. A tax invoice is the legal document issued under Section 31 of the CGST Act and Rule 46 when the supply is actually made; it creates the seller output tax liability, is reported in GSTR-1, and is the document on which the buyer claims input tax credit. A proforma does none of these things. The simplest way to think of it is that a proforma is a quotation in invoice form; this generator adds the wording that makes that status clear.

Is a proforma invoice valid under GST?

A proforma invoice is not a GST document at all. The CGST Act recognises the tax invoice, bill of supply, receipt voucher, refund voucher, payment voucher, debit note, credit note and delivery challan; a proforma is not among them. It is perfectly legal to issue one, and it is common commercial practice, but it has no tax consequence: no GST is payable merely because a proforma was issued, it is not reported in any return, and the recipient cannot claim input credit on it. The tax event arises when the goods are removed or the service is supplied, or when an advance is received for services, at which point a tax invoice or receipt voucher must be issued.

Should I show GST on a proforma invoice?

Yes, as an indicative amount, so that the buyer knows the total they will have to pay and can budget or raise a purchase order for the full amount. The generator computes CGST and SGST for an intra-state supply or IGST for an inter-state one at the rates you select for each line, labels them as estimated, and states in the footer that the amounts are indicative at the rates in force on the date of issue. If you are not registered under GST, or the supply is exempt, choose the no-GST option and the tax columns are omitted. Showing GST on a proforma does not make it payable; only the tax invoice does that.

Do I need to number proforma invoices?

There is no statutory requirement, since the document is outside GST, but you should number them in a separate series from tax invoices for three reasons. Buyers refer to the number when releasing an advance, so you need a unique reference. Your tax invoice series must be consecutive under Rule 46 and should not be interrupted by non-tax documents. And your accountant needs to see at a glance which documents created a liability and which did not. A series such as PI/2026-27/0001 that resets each financial year works well; the invoice number generator on this site can produce one.

What happens when the customer pays an advance against a proforma?

For goods, GST is not payable on an advance since Notification 66/2017; the tax arises when the goods are supplied and the tax invoice is issued, and the advance is simply adjusted. For services, GST is payable on an advance in the month it is received, and the supplier must issue a receipt voucher under Rule 50 showing the advance and the tax. When the service is completed, the tax invoice shows the full value and adjusts the advance already taxed. Either way, acknowledge the advance with a payment receipt and quote the proforma number so the buyer can match it. The bank transfer receipt generator on this site produces a suitable acknowledgement.

How long should a proforma invoice be valid?

Long enough for the buyer to approve and pay, short enough that you are not bound to a stale price. For goods with volatile input costs, such as steel, textiles or electronics, 7 to 15 days is common. For services and projects, 30 days is usual, and some consultants allow 45 or 60. The validity line lets you decline an order placed after the date or re-quote at current prices. The generator computes a valid-till date from the number of days you enter and prints it in the header.

Can a proforma invoice be used for exports and imports?

Yes, and it is a standard document in international trade. An overseas buyer uses it to open a letter of credit or arrange foreign exchange, customs authorities in some countries use it to assess duties in advance, and Indian banks may ask for it when releasing an advance payment under FEMA rules. For export use, add the currency, the Incoterm, the port of loading and discharge, the country of origin and the expected shipment date in the notes line, and show GST as zero-rated or omit it, since exports are zero-rated supplies. The final export invoice under Rule 46 must then carry the shipping bill details.

Does this tool store my invoices?

No. The parties, items and terms are used only in your browser to render the preview and the print view; there is no account, no server call and no history, so the document is gone when you close the tab unless you have saved it. Save the PDF with the proforma number in the file name, keep it with the order file, and when the order is confirmed create the tax invoice with the same lines in the GST invoice generator, which also runs locally in your browser.
